Abstract

لا شك أن شركة المساهمة العامة أصبحت -في يومنا هذا-أحد الركائز التي يرتكز عليها الاقتصاد الوطني، وذلك نتيجة للمكانة التي أصبحت تحتلها داخل النسيج الاقتصادي، والأدوار التي من خلالها تساهم في إنعاش الحركة الاقتصادية، ومن هذا المنطلق ومن أجل الحفاظ على مكانة هذه الشركات وعدم خروجها عن أهدافها التي أنشئت من أجلها فإنه من غير المستبعد بل من الضرورة مراقبة وضبط الأجهزة التي يناط بها إدارة الشركة حيث، أن أي تجاوز للرئيس أو أعضاء مجلس الإدارة للصلاحيات أو أي إنحراف عن الغاية المحددة لتلك الشركات، فإن ذلك ينتج الضرر للمساهمين أو الغير أو أصوال الشركة.

ونظرا لأهمية هذا الموضوع أنصبت البحوث في مجملها على جزئية هامة في الشركة المساهمة العامة وهي المسؤولية المدنية التي تترتب على أعضاء مجلس الإدارة، ويهدف البحث إلى الإحاطة التفصيلية بهذا الخصوص، وبيان المسؤولية المدنية لرئيس وأعضاء مجلس الإدارة في الشركة المساهمة العامة؛ ولتحقيق هذا الهدف كان لابد من دارسة طبيعة العلاقة بين أعضاء مجلس الإدارة قبل الشركة والمساهمين والغير وحالات المسؤولية في القانون.

ونظرا للدور الخطير الذي يلعبه أعضاء مجلس الإدارة قرر المشرع فرض مجموعة من القيود التي تحد من أعمال مجلس إدارة الشركة المساهمة العامة، مع ذلك فإن صلاحيات أعضاء مجلس الإدارة هي مازالت متسعة، الأمر الذي يستوجب مضاعفة التدخل التشريعي للحد منها. فإن تجاوز مجلس الإدارة لصلاحيته واختصاصاته وخروجه عن الهدف المرسوم له فسوف يؤدي الى الحاق الضرر بالمساهمين.

There is no doubt that public joint-stock shareholder companies have become one of the key pillars on which the UAE national economy rests and such position is largely attributable to the benefits that public shareholder companies contribute to the growth of economic development.

In order to be effective in their day-to-day operations, public joint-stock shareholder companies require effective internal controls and corporate governance structure and procedures. This will ensure preservation and protection of shareholder interests as any material deviations from the authority and powers granted to the President or members of the governing council (board committees) will damage such shareholders’ interests.

In view of the importance of preservation of shareholder interests, this paper focuses specifically on the topic of civil liabilities of the members of the board of directors in public joint-stock companies.

The aim of this research paper is to provide a detailed overview of civil liabilities of chairman and members of the board of directors in a public joint-stock company, in particular, such liabilities are analyzed vis-vis the company itself, to the shareholders and third parties.

It appears that the UAE legislators have recently imposed new restrictions that are aimed at limiting the powers of the board of directors in public joint-stock companies. There is an ongoing trend that such restrictions imposed by UAE legislators will continue increasing in the coming months.
