Abstract

This study examines in-depth of the legal provisions of Companies Law relating to the Limited Liability Companies, and determine what the law ought to be in order to protect the rights of limited liability company’s creditors and at the same time strike a balance between the different interests of the parties involved. Furthermore, this study evaluates the legal recognition of the one-person limited liability company and addresses the main additional guarantees that should be adopted to enhance the general guarantee for the creditors of such company. Finally, the study explores the Legal Control on the partner’s acts and the difficulties facing the One Person Company under the current law.

Overall, the main focus of the study is to primarily answer the question of whether there is any real need for a more specific legislation to regulate the One Person Company in the United Arab Emirates.

Arabic Abstract

تتناول هذه الدراسة مدى كفاية النصوص القانونية الواردة في قانون الشركات بشأن الشركة ذات المسؤولية المحدودة وتوافقها مع طبيعة شركة الشخص الواحد بداية من تأسيسها وسير العمل فيها في عدم وجود شركاء آخرين معه وماهي آلية الرقابة على الشركة وكذلك الصعوبات التي تواجه الشريك الوحيد أو الشركة خاصة في ظل عدم وجود نصوص توافق طبيعة هذه الشركة، وتتناول الدراسة أيضاً مدى كفاية الضمانات الحالية لضمان حقوق الدائنين وهل توجد حاجة لوجود ضمانات أخرى من عدمه وماهي الوسيلة لذلك.

وأخيرا فإن هذه الدراسة تتمحور بشكل رئيسي في التركيز على الاجابة حول مدى الحاجة الى وجود تنظيم قانوني مستقل يعنى بشركة الشخص الواحد.
