Abstract

إن النمو الاقتصادي الذي شهده العالم بشكل عام فرض على الدول والحكومات العديد من التحديات من اجل مواكبة هذا النمو الاقتصادي والسير مع عجلة التنمية الاقتصادية، الامر الذي استوجب على دول وحكومات العالم ان تضع القوانين التي تنظم الاقطاع الاقتصادي وتساهم في تطوره وتحفظ حقوق اصحاب الاستثمار والشركاء، وتعمل في الوقت ذاته على حماية المصلحة العامة وارساء التوازن بين متطلبات النمو الاقتصادي ومقتضيات السيادة الوطنية على مقدرات الدولة والقطاع الاقتصادي فيها، ووجود التشريعات القوية المنظمة للقطاع الاقتصادي والاستثماري في أي دولة كانت يجعل منها محلا لاستقطاب المستثمرين وملاذا آمنا بالنسبة لهم لاستثمار اموالهم، لذلك نجد ان دولة الامارات العربية المتحدة لم تغفل هذا الجانب وادركت اهميته فبعد ان رأت ان القانون الاتحادي رقم 8 لسنة 1984 لم يعد يواكب ما حصل من نمو اقتصادي عمدت الى اصدار قانون الشركات رقم 2 لسنة 2015 بشأن الشركات التجارية الذي شمل العديد من التغييرات ذات الأهمية والمتعلقة بالشركات التجارية، حيث جاء القانون مؤكدا لمبدأ الرسمية في عقد الشركة وضرورة ان يأخذ العقد الشكل الذي رسمه له القانون.

ومن هذا المنطلق جاء هذا البحث ليتناول مسألة الصورية في عقد الشركة بحيث تم التطرق فيه الى ماهية الصورية ومفهومها وشروطها واثار الصورية على عقد الشركة ونسبة المساهمة الوطنية فيها، وموقف القضاء الاماراتي من الصورية والاتجاهات المختلفة الموسع منها والمضيق بالإضافة الى نظرية الشركة الفعلية عند قيام الصورية.

The economic growth witnessed by the world, in general, has imposed on countries and governments many challenges in order to keep pace with this economic growth and to go with the wheel of economic development. This required the countries and governments of the world to develop laws that regulate the economic field and contribute to its development. Also, it was important to regulate the rights of investment owners and partners. And at the same time, to protect the public interest and balance between the requirements of economic growth and the requirements of national sovereignty. It is equally important to have strong legislation governing the economic sector and investment in any country in order to make it a safe place for investment.

The United Arab Emirates did not fail to realize the importance of this economic development. This was witnessed when the United Arab Emirates issued the new Commercial Companies Law No.2 of 2018. The new Commercial Companies Law affirmed the importance of the principle of the contract of the company and the importance of complying with formalities of the company contract as provided by the United Arab Emirates law.

Therefore this research addresses the simulation of company contracts, such as the definition of simulation, the condition of simulation, the effect of simulation in the company contract and the percentage of local shareholders, the different positions of the UAE court regarding the simulation and the validity of actions and transactions taken by these companies.
